Yeah, a little bit. If you say 5 feet should be 100 lbs, then 5'2" is about 110 lbs. Instead of worrying about this, get him active, take him on bike rides, hikes, swim, play ball, lift weights and then pull out a picnic lunch with good food.
Keep your mouth shut! Don't harp, don't preach. He may need to be shown alternative but do so by example, not by words. If you rag him or even mention this flabbiness, you'll mess up his mind to where his own self worth, body image, etc will be a disaster.

It's hard to judge with kids. Does he look overweight? Truthfully, discuss it with his parents, if it is concerning you, I am sure they are already aware of it, and probably discussed it with his doctor.
It is unlikely he is overweight, but he could be out of shape. He is definitely on that cusp. Is he active? Does he eat well? Most doctors will discourage a child from trying to control their weight, they will put that on the parents because children really don't have a good understanding of healthy weight management.
I wouldn't say anything to the child, certainly. He isn't the person to talk to about it.

1) He's 12--what's he eating? Is he eating SOME veggies and fruits?
2) He's probably going to go through quite a growth spurt in the next year.
In other words: you have nothing to worry about. Enjoy him not because in a few years you won't be able to get him to pay attention to you.

Well, I don't know what your nephew looks like or how much of that weight is muscle and how much fat, but judging by the statistics yes that is too heavy.
But you shouldn't tell him this to his face, talk to his parents about it.
