Depends on what you're talking about. Typically an update is a patch or fix to existing software. An upgrade may be getting newer hardware to replace outdated hardware, or may refer to getting a new version of the software.

In software terms for example, upgrading some program from version 2.01 to version 2.02 would be an update. Going from 2.02 to 3.0 would be an upgrade.

Of course some people will mix and match the terms as they see fit. So long as you understand what they mean then there's no harm done.

An update means, applying a change to an existing thing. An upgrade means a wholesale replacement.

For a software example: Say, you have a spelling checker. An update might be, to add new words, like say, your current spelling checker didn't have the correct spelling for the word "amigo", so it got updated. While an upgrade would be a rewrite of the spelling checker, a replacement of the entire program, with another spelling checker, say, one that used less memory, or better technology, or ran faster, jumped higher, and had a better smiley-face.

Or, for hardware: an update might be, a new sprocket for your bicycle, where an ugrade might be, a brand new, lighter-weight bicycle.

If you owned version 10.0 of whatever software, you could download 10.1 or 10.2 etc as an update. Its a patch to fix a bug with the original 10.0 software.
Now, when a company releases 11.0, this is a completly new program, so you would have to buy it, this would be an upgrade.

An update is usually a change or improvement to files (or parts) of a program.
An Upgrade is a change or improvement to the core program itself.

Parfum is 22% fragrance oils. It is a blend of pure essential oils combined with the purest alcohol. This is the most concentrated and the longest-lasting form of fragrance. Eau de Parfum is 15 to 22% fragrance oils. Slightly modified and less concentrated, but longer-lasting than eau de toilette. Eau de Toilette and Cologne have 4 to 15% fragrance oils. Theses are lighter in concentration, meant to be worn daily. So if you are looking for something that is long lasting, you would choose a Parfum

Sometimes they are used interchangably, but generally an update is a correction, while an upgrade is a whole new piece of software.
