Neither side could occupy the others country. China does not have the lift assets to resupply there forces if they invaded the US. With in days they would be short of food, fuel, and ammo. By the end of a month the would be out of everything need to wage war. The US does not have enough forces to invade China and do more than occupy a couple of port cities. We would have to raise our military back to WWII levels, about five to six times larger than it is today, to drive inland.
If we say it was just a naval war the US would win, at a price. The Chinese have the largest air force in the world, though most of it is outdated. They would keep their navy close enough to the mainland where their air force could support them. The US Navy would destroy their surface fleet, but the Chinese would sink an Aircraft Carrier and some other surface ships. Now here is the real answer on how would win. The Chinese can take massive loses, the US has lost 3,700 in Iraq in four years, and there is protest to get out. If we lost 5,000 sailors in one day with the lose of a Carrier? Congress would be screaming for us to end the war. So China could very will win, with the lose of their navy and most of their air force.

By statistical odds -- China.
They outnumber the US in population over 3 to 1.
Their military outnumbers the US military over 2 to 1.
The US has a few more nukes, but China has more than enough to take out every major US city.
And they haven't spend the last five years exhausting their military resources in a series of foreign wars, meaning their military is in much better shape.
So, while both countries would be devastated, China has a larger reserve of population to draw upon to recover.

Things to think about:
> Half of China is unoccupied
> Is their military really that expeditionary?
> Does China really have the resources to amass their entire force across the ocean?
> Does China have the resources to maintain a force comprised of millions of people?

Doubt that it would happen. The Chinese are going to kill their own people far before they kill Americans in a war. They are trying to kill us due to trade issues though. With their lack of control over products made in China has shown their lack of caring for people. That will be their demise unless things change.

Even though our technology are higher than theirs, they are not that far behind (the fact that they are one of the three countries in the world who can shoot satellites out of space). I think it would depend on the how much help and support they receive from their allies. Also most importantly, their economy and resources.
