Assuming that you are using this for business purposes, the only compelling reason I can see upgrading to Vista is the file system encryption option. I can live with EncryptionPlus from PC Guardian for that rather than Microsoft's implementation.
As for reasons not to upgrade:
- Requires more hardware resources but offers no significant benefit over MS Windows XP.
- First and third party application support progressing slowly. Backward compatibility issues exist, especially where software drivers are involved.
- Historically Microsoft releases products and they seem like Beta applications. (Wait until at least service pack 1 later this year before considering upgrading.)
- No compelling features over Windows XP or even 2000. A properly patched XP/2000 system is adequate for typical users.
For gaming use, Microsoft will be limiting DirectX10 to the Vista platform so eventually new games that develop only for that environment will drive gamers up to Vista. For the near term, most game developers will likely continue DX9 and DX10 support as the majority of their user base will still be on Windows XP/2000 for a long time.

Windows vista is a brand new OS, not all software and hardware are supported due to the lack of drivers for either. Not all of the bugs have been worked out of Vista just yet. Wait another year, maybe 2 and then you should be fine. If you're comfortable with XP, then just keep using that. But if you do decide to upgrade to Vista, just make sure your software and hardware are compatible.
good luck

do not upgrade if i were you....xp is tried n tested...and has had several years to mature in the form of updates...vista is not...its still new, so very buggy, slow, overpriced, and down right annoying, most current software has problems working in vista, there is a serious lack of drivers available, especially for the 64bit version, and you need at least 2gb of RAM for it to run well (i know they say 512mb but seriously you need at least 2gb RAM)

if you want none of your software or hardware to work vista is for you.
i suggest you wait until peripheral manufacturers write some drivers that work with your stuff.
