i got most of it apart except this one piece over by the air bag ... the top panel wont come off because there seems to be a clip of something holding on to it to keep it down and i cant find the release for it ... it seems that this panel is locked with theses clips right in the middle of it beside the air bag .....

I think I know what you're talking about; the dash pad that covers the entire top of the dash, including the air bag, has to be removed. I bet the part you're missing is inside the glove box. Look into the glove box, and you'll see an opening at the top. Inside the opening are two brass 7mm hex screws. Remove them both, and if you've removed the other, more obvious screws around the dash pad, then it should come off easily after that.

Edit: There aren't any clips, only screws, except above the instrument cluster.

You need to remove one screw under the panel on the passenger end of the dash; another under the panel on the driver's end of the dash. One under the passenger side air vent, accessable with the glove box open. Two more under the edge of the top dash pad, accessable with the glove box open. Two brass-color machine screws are inside the small opening at the top, in the glove box. You need to remove a philips screw from the air vent grill on the top center of the dash pad, remove the grill, then remove two screws underneath the grill. After all these screws are removed, you should be able to lift and remove the top dash pad. After that you can remove the 3 screws that hold down the top part of the front dash plate.

That's all put together with snap locks and a few screws.Usually start by taking off the trim from under the steering wheel. That's usually the key peice that's screwed on. Then, start pulling on the trim peices slowly and look under them to see what's holding it on. If you can't find a screw,(look very closely or you'll break something) Use a couple thin flat head screw drivers or something and try to pop them off. They over lap one another so if you get hung up, try the next peice. The part you're having trouble with.... Try opening the passenger door and see if you need to take the end part off first. Have fun!

Listen to KaeZoo. He's absolutely right. Just be careful around the airbag.
