Goodwill actually comes from accountancy, and is defined as an intangible asset - the value of a business over and above it's tangible worth (the value of all the machines, factories, vehicles or whatever it owns).
At it's simplest, if you help somebody out, it generates "goodwill", so they are more likely to do you a favour in return.
