It depends on what state you live in. Talk to a home inspector. A lot of states require specific items in order to count the space as square footage. Namely, a method of egress (e.g. door to the outside directly from the basement - small windows don't work and stairs have to lead directly outside, not back into the house). Some states require bathrooms (or plumbing available) and most require heating the space.

Tricky question. Normally, a homes square footage is considered "living" space. This can include closets and such. If your homes basement does not have code compliant egress windows or other means of escape, it may not count. Most realtors list a homes square footage and add "finished basement".
