Both TVs use most likely the same panels (only Samsung makes 40" panels, the rest use 37") however, there is more into a TV than panels and specs.
Go to a couple of stores and try to compare them side by side and see which one you like best.

Well the Samsung would be a better choice because the Samsung has a higher Contrast ratio than the Sony S series , done really worry too much on the lifespan because both the LCD's were released close together so it will Harv a 4-5 year life span i think, both TVs have the HDMI input , they are very similar models but when you look at the Samsung gets the Edge because of the great image quality and the sleek , slim design, the Samsung would be a wiser choice but everyone loves a Sony , the Samsung is capable of showing 12.8 BILLION colors which is truly something. Looking at Tech Specs the Samsung is a definite winner , don't look at were its made , resolution is the same the contrast is not , Sony has 1300:1 but the Samsung has 5000:1 and with the analogue signals if you are getting good reception now and you place the TV were your old TV is you will still get a good picture quality although for $100 might as well get a SD Set top Box . The TV best for you is defiantly the Samsung. Hope this Helped :D
