I am graduating in May 2007. The employer wants to file my H-1 in April 2007 without diploma. However, they are asking me to get a letter of completion signed by the Dean. What is my chance of getting approval?

You can try and send it that way, but they'll just send you an RFE (Request for Evidence) and you can send the diploma at that time. I'm assuming you're planning to do Premium Processing? Your F-1 should end when you graduate and an H-1 petition can take up to four months.

The H1b visa program provides temporary workers' visas in specialty occupations. A specialty occupation requires the theoretical and practical application of a body of specialized knowledge and a bachelor's degree (or acceptable equivalent) in the specific specialty. You must already hold such qualification before the H1b visa petition can be filed.

If you do not have any practical experience, and you have not yet even graduated, then it is highly unlikely that you would be approved - either CIS would deny your application outright, or the Consular officer would request to revoke the petition after your embassy/consulate interview.
