The fetal blood gas exchange occurs at the placenta. The child's lungs are not fully developed nor is there any oxygen in the uterus so the fetus' blood bypasses the lungs. The child gets it's oxygen from the mother. So the only place for oxygenation can occur at the placenta. This is also where nutrients from the mother are given to the fetus. The Umbilical cord is the communication between the mother and child.

The fetus receives oxygen and eliminates carbon dioxide through the umbilical cord; it is part of the placenta, which is the organ that accomplishes the exchange with the gasses in the mother's blood, as well as providing nourishment.
