Right-click the folder that you want to make private and choose "Properties" (or Alt+Double-click). Go to the "Sharing" tab and check the "Make this folder private" box.

To password protect the contents of a compressed folder you need to compress the folder first (make a zip of the files):
1. Double-click the compressed folder that you want to password protect.
2. On the File menu, click Add a Password.
3. In the Password box, type the password that you want to use. Type the same password in the Confirm Password box, and then click OK.
This will open the folder but nobody can access the files. If you do not want others to know what files are present .....you can rename them.

You can use password locking softwares like 'Folder Security Personal' or 'Lock Folder XP' etc. to hide or without hiding password locking a folder or even a file.

That will make it so only you have access to it. If anyone has access to your computer they will still be able to open that folder. I dont know how to put a password on a folder in XP. I would like to know as well.
