My guess is that the explorer.exe which is the shell of windows is corrupt. Do a re-install of windows to replace the explorer.exe file and it should be okay. It's really no big deal if it's just happening when it's shutting down. What i mean by it being the shell of windows..is it's the start bar and the little window that opens up that you explore in.

Try going to Control Panel > Add or Remove programs. Then uninstall the program. When that is done, reinstall it. See if that helps.

You could also go back to an earlier restore point where you know it worked. Be aware though, you will lose any changes made after that point.

Windows may be trying to shut down a program or device that is corrupted or wasn't uninstalled properly.

Use CCleaner to clean up registry problems, junk in your temp files, etc.

Explorer is what keeps your icons on your desktop, and displays the start menu, the area where the clock is, ect. it's weird that's happening, but since you're restarting anyways, it doesn't really mater. obviously explorer is not responding, because it's being closed.
