Stick the disk in and theres an Upgrade optioin. That is, while you are running windows 98, put the disk it it'll probably autorun if not run the setup.exe from the disk, it'll pop up with a gui and in the options it has a upgrade choice...
It's better to just put all the stuff you want onto another hdd or cd or what not, format with an ntfs filesystem, then install xp from a clean install.

If you want to do it right and make it work, this is the only way.
First of all...do you need any files on PC (eg: fotos, music, movies) ...copy them to a CD!
Part 1)
Follow the instructions below exactly, be patient and I guarantee it will work.
Create Win98 boot if U dont have one. Search web or use link for smartdrv.exe then get it going dude.
INFO: Windows XP Clean Installation from Dos
What You Need:
* Windows XP CD
* Windows 98 Or Millennium Start-up Disk.
* Smartdrv.exe Which Can Be Downloaded HERE http://gktronics.topcities.com/smartdrv.... If Needed.
Copy smartdrv.exe To Your Start-up Disk.
Boot With Start-up Disk And Format Your Hard Disk.
Type smartdrv.exe And Enter at The A:\> prompt.
You Must Load Smartdrv.exe or You Will Be Setting Up
For the Next 3 Days!
Type e: And Enter, assuming Your CD Drive Letter Is "E".
Now Type cd i386 And Enter, Then winnt And Enter.
Follow The Installation Instructions. It Will Look As
Though Your Computer Has Hanged, But Let It Run!
In Some Cases It Will Say It Can't Read Certain Files,
That's Ok Because Dos Can't Read The New File Types.
Hit esc Till Finished. The Files Can Be Added Later.
It Might, At Some Point Say It Can’t Find Certain Files.
That’s Because Dos Put The Installation Files In A Temp
Directory In The Beginning. Hit esc Till Done.
After XP Has Started, Click "Start" Then "Run".
Be Sure Your Windows XP CD Is Still In The Drive.
Type cmd And Enter. Now Type cd\windows\system32 And Enter.
Finally Type sfc /scanall.
The Files That Couldn't Be Copied Will Now Be Installed.
And..guess what: XP is right there in front of you - enjoy!
Don't worry about the thanks!

You should be able to upgrade Win98 SE to Win XP Home. Are you trying to upgrade to Win XP Pro ? This isn't supported. The only way around this is to first upgrade 98 SE to Win 2000 and then upgrade to Pro. The best solution if you want both Win 98 and Win XP might be to get something like System Commander. Then you can duplicate the Win 98 partition and upgrade one of the two partitions.

Start Windows 98, insert the XP disc. When it opens, choose Upgrade. It does a decent job of walking you through the steps.

load the computer up til you on the desktop, put the cd in and it should autostart. if it doesnt go to your cd drive and double click on setup. there hit install XP. it should close out your desktop and you will be in full screen mode. itll ask you what you want to do (upgrade or install a new OS) just hit upgrade and follow instructions.
personally this is a little buggy to me, and only works half the time. the other half itll mess everything up. make sure you back your info up on cd's before doing this. and if you do that you might as well just delete win98 and put a solid XP install on your HDD.

Just insert the Win XP disk. It will overwrite the Win 98, and become your default operating system.

You don't have to erase 98. You install Win XP right over it, effectively erasing it.

Upgrade To WinXP. If you are upgrading to WinXP from Win98/Me, you may discover compatibility problems with some of your existing software and hardware. The WinXP kernel, which controls baseline functions such as memory and drive management, is based on Windows NT and Windows 2000. Because the WinNT/2000 OSes are very different from Win98/Me, compatibility issues are common.
Know what you have. Before you can check your system for compatibility with WinXP, you should know how to find details about the software and hardware installed on your PC. To find software version information, simply open the program, click the Help menu, and then click About. The version number of the software should display.
Check out the Upgrade Center. If you're using Win98/Me, you can upgrade to WinXP Home or WinXP Professional. To decide which edition to choose, answer the five questions at Microsoft's Windows XP Web site (http://www.microsoft.com/windowsxp/whichxp.asp).
After you determine which edition is best for you, visit the WinXP Home Upgrade Center at http://www.microsoft.com/windowsxp/home/howtobuy/upgrading or the WinXP Professional Upgrade Center at http://www.microsoft.com/windowsxp/pro/howtobuy/upgrading. Both sites list four steps for upgrade preparation, including checking the system requirements and verifying that your current OS qualifies for an upgrade.
To discover compatibility issues, click the link Make Sure Your Hardware And Software Are Compatible, which is Step 3 in both Upgrade Centers. The resulting page offers links to two helpful tools: the Windows Catalog Web site, where you can search for WinXP-compatible hardware and software, and the Upgrade Advisor.
