It really depends on the marinade. In general, marinades are used to flavor foods. In the case of marinades containing acidic ingredients, it can also tenderize a tough cut of meat. However, if you're working with a highly acidic marinade, you need to pay close attention to the marination time: the high acidic content, in time, can actually work against you and make the meat tougher.

If you're using a bottled marinade, or a homemade marinade from a recipe, follow the marination time closely. If you're making one up from scratch with acidic ingredients (like lemon juice, for example), do a little research on the optimal marination time. There's nothing worse than a piece of meat with great flavor that you can't chew!

It makes it more tender because it makes it juicier. The food (usually meat) absorbes the liquid. When you cook something it dries it out. The juicier it is, the less tough it comes out. Plus it adds flavor.
