Simply to transfer photos to your PC, you shouldn't need the CD at all unless you have Windows 98.
The software provided with the camera usually consists mainly of an image viewer and a basic image processor. I usually find these are a total pain because you have to learn yet another new piece of software! Here is where you can download the software provided, however:

Installation should be straightforward. Download the file from the link above, save it somewhere where you can find it (usually your Desktop is a good place), and when it has downloaded, double-click it and follow the instructions on screen.
If you can't download the software from the Kodak website, then I can recommend Irfanview (http://www.irfanview.com) as a simple and effective viewer/processor. It can do simple things such as lighten or darken photos, resize them, rotate them, crop them and so on.

If you are using Windows XP, then it will automatically detect your camera.
For the Kodak utilities, please contact the vendor from whom you got the product. They can provide you a copy of the software.
