A waxing moon is one that is visually growing larger to culimnate in a full moon, and many rituals follow the moon cycles. A waning moon is when it is gradually growing smaller to the view.
Here is an awesome Wiccan site that discusses it nicely: http://www.wiccanglade.com/phasesofmoon.html

Waxing of the moon is when the new moon, unseen, is making the transition to the full moon, so the moon's visible brightened side is getting larger each night. Waxing of the moon is mostly at night.
Waning of the moon is when the full moon starts it's transition to the new moon, so the moon's visible brightened side is getting smaller each day. Waning of the moon is mostly during the day.
No, I'm not a witch, but wouldn't mind putting some hocus-pocus on a couple of folks.

I'm not a witch (I believe that witchcraft ultimately comes from Satan), but "waxing" is when the moon is getting bigger (going from a new moon to a full moon) and "waning" is when the moon is getting smaller (going from a full moon to a new moon).
