If you don't know him well enough, just say something like, "I'd like to get to know you a little before anyone starts mentioning a relationship".

If you're friends and just don't like him in the same way, just say something along the lines of, "I like you as a friend, but not as a boyfriend. Plus i wouldn't want to damage the relationship we already have".

Or if you just don't like him... "I'm sorry but i'm not attracted to you in the same way..." but offer to be friends.

Just politely tell him no, don't be nasty, and don't run to your friends and say "omg guess who asked me out". This is where the problems lie and guys really feel bad because it comes around full circle and by the time it gets back to the guy there all types of ugly things that "you said" about him that were never really said.

Say "I am flattered that you have shown interests in me, but I don't have the same feelings towards you". He should not take offense to that, he should walk away like a man and with a smile knowing that at least he tried.

Very politely say you are not interested in dating him,but you could be friends. Who knows someday you might change your mind. Ask to get to know him a little better before you date.

say "sorry, im busy that night"

or "i see you as more of a friend, than anything more"

or "my parents dont let me date" (if your young)

or start dropping hints about this other guy you like...he'll get the picture :)

I would just tell him no because it's direct and to the point. You won't ruin his life by saying no.
