Is this a high mileage car??? I'm assuming that this is an automatic. Inside the auto trans are bands, clutches, torque converter, and valve body which controls how things work. If your fluid is burnt smelling you may have burnt clutches. The band inside that 'grabs' first gear may be getting an improper signal from the valve body.
