Keep in mind that if you do this as a replacement, removing the old system; it will erase all of the files on your computer that are not on the new install disk. Pictures, movies, songs, letters, and the programs that created or stored them will all be gone permanently.
IF you are trying to go from Xp to Vista or Xp Pro or Xp Media, then you want to use an Upgrade disk, that will maintain all your files and programs, while upgrading the old system.
If you are trying to fix a problem with Xp and will be keeping the same OS, then you should try to use the REPAIR function, instead of reinstalling. Boot to the OS install disk, it will see the existing OS and ask if you want to replace it or repair it.
IF you use the Repair function, the only files you will loose are those in the Documents folder of each user on the computer. If thy system is still functional, but having problems, click on the documents folder to highlight it in My Computer and use the Select All in the edit menu to highlight all the files. Then create a backup folder on your computer and paste all the files into it. That way you can find them after the upgrade.
IF you are going to reformat the drive, which has to be done to completely remove the old OS, then you can do the same thing as above, except paste the files to the CD burner or DVD burner so they are on disks.
MOST Operating Systems that are acting up can be fixed by running a quality virus scan from Safe Mode and a good Anti-spyware scan to remove all the garbage that creeps on to the machine over time in normal web surfing. These should be part of a monthly routine anyway, and might save you the trouble of having to reprogram the computer.
Most people do not realize that once the OS disk is installed, the fun of reprogramming has just begun. You now have to install any missing or out of date drivers. Update the 88+ patches that Windows has put out, all of which you loose when you reinstall. Put back all the programs that use windows, but are not part of it, like Office, Photoshop, DVD software and the like. It takes hours, or even days to put all this back and be back up and running.

you can do 2 things.. if the new operative system is a later version then WIN Xp 2002 then you insert the Installation CD for the new one and do an upgrade.
Else boot from the Installation CD for the new OS and select the partition where the old system is installed. On continuing the CD would automatically format that drive and install the new OS on that location.

Is there windows xp 2002 or is it windows xp sp2(service pack 2)?
Before you remove the an existing operating system put your operatings system cd on an optical drive(cdrom drive).
Then follow the instruction on how to remove the existing operatings system. Choose an option that will format the disk (is the process of preparing a hard disk or other storage medium for use, including setting up an empty file system).
After formatting disk you can install using the operatings system cd.
