Its tough to get a camera with changeable lens (implies mostly SLR) for less than $300.. You will have to get an old one. Also note that you are looking for an SLR and in SLR's you can go for lesser mega pixels. If it is a point and shoot you need higher.
Nikon D40 is the closest that comes with $400 as price and with a very reputed picture quality. It is 6.2mp http://www.reviewgist.com/digital-camera/review-Nikon_D40_Digital_Camera_with_G-II_18-55mm_Lens

I recently found this site http://www.reviewgist.com/digital-camera-reviews which can do this and also tell you how good the camera is as per experts.

If your old SLR was a Canon EOS film SLR then the lenses you used with it will work straight away for a 450D since they both use the Canon EF mount. NB Canon EF fit lenses by Tamron and Sigma will work too. If didn't use an EOS film camera depending on what lens you have you might be able to get a adapter, but thats really dependant on what lenses you have. But it will be highly unlikely that you will have autofocus, and you are probably better off selling out your old lenses and put that towards a good new lens. EDIT - if you used to use an F-mount Nikon you're better off buying a Nikon dSLR.

The closest to what you want that I've seen is the Pentax K100D Super or the Sony A100 but you'll have to double your budget.

The K100D Super is 6.1mp, has Image Stabilization in the camera body, and accepts every K-mount lens made since 1975. It also has Dust Removal for the sensor. You can get one with an 18-55mm lens for around $550.00 although if you really shop around you should find it for less.

You can read a review of it at shutterbug.com - its in the Jan. 2008 issue of Shutterbug Magazine.

The A100 is 10mp and has Super Anti-Shake in the camera body and you can use every MINOLTA MAXXUM AF lens made since 1985. It also has Dust Removal for the sensor. Its around $565.00 with an 18-70mm lens. Again, diligent shopping should find lower prices.

Shutterbug Magazine reviewed the A100 in Aug. and Nov. of 2006 and you can read those reviews at shutterbug.com.

If I were choosing, I'd probably go with the Sony A100*.

With the recent introduction of the Pentax K10D and the Sony A700 prices for the K100D Super and A100 should drop even more.

Most everyone who answers will say Canon or Nikon. At the price point of the A100 and K100D Super neither Nikon or Canon has Image Stabilization in the camera body, nor do they have dust removal for the sensor.

* I confess - Sony bought the MINOLTA DSLR line in 2006 and as a long-time MINOLTA user I'm biased.
