If you marry him, file the I-130 - he will have to return to his home country, attend a visa interview - which will be denied, then he will have to file a waiver and he will need a good lawyer to aid his case.
Obviously it is not a simple as this but I just can't be bothered to retype everything which as been said to you already.
Do you read the other answers or just post more questions, seriously go seek the consultation of a lawyer, they will tell you the same thing as me - they only difference is they will charge you for the privilege.

I understand his distress but people shouldn't really marry like this - it actually makes things harder for real couples to get visas and stay together afterwards. You should help him get a good job and stay with a working visa or if any of your friends is an EU citizen he can ask to stay as her partner rather than having to marry (EU citizens excluding Britain can ask for their partners to remain in the country without having to marry).
Marrying someone like this will have a huge impact on your personal life and will ultimately damage your relationship. I think he should contact a solicitor and explore all other possible options. Try the immigration advisory service for free and confidential advice.

You didn't say what country you are in.
In the USA it's illegal to marry someone to get them residency status and could lead to a prison term if you are caught. You will also have to stay married to this person for FIVE years. Do you want to put your life on hold for FIVE years? I would think some kind of compensation is in order if you do this even if he is a good friend.

It is a sham marriage. He will be deported and you will go to jail. He still has to straighten out his legal status first before your alleged sham marriage. It does not matter if you get paid to determine if the marriage is a sham. It only matters if you marry him for the purpose of obtaining U.S. citizenship.
I have no sympathy for him. After all that education and the available 1 -year OPT period and he still cannot locate a job? What did he do for that one year? It's nobody's fault that he is not looking hard enough. H1-B is hard to obtain but not impossible. In any event, the idea of allowing international students is not so they can immigrate, but that they can take what they learn to help their home country.

It is a federal offense. Don't do it. Being in the US illegally will get you a ten year ban. It is very hard to fake a marriage, the immigration workers are always on the look out for such things. You could face steep fines and possibly jail time.

This is a felony and he should be deported for trying to do this. Help direct him to how to legally become a citizen because anything less is wrong and we don't need more people that claim they want to be a part of our country though don't respect our laws. That's not a good citizen.
