I am contractor, need to set up agreement with sub-contractor, what should I prepare to avoid problem?
Any template I can download for free?

Keep it simple. Do not try to use legal terms or phrases that you only 'think' you understand. Don't try to use some legal form or template off the internet that may, or may not, really apply.

All you need to do is set out in writing what he's going to be obligated to do, and what you're going to be obligated to do.

"Joe's Painting will paint all the walls and woodwork of the house being built by Bills Construction as a sub-contractor to Bills Construction. The paint colors will be.... the number of coats will be..... and Bills will pay Joe's $x,xxx.xx to do the job, 1/3 before he starts, 1/3 when he's half done, and 1/3 when he's finished. Any dispute will be handled in the 'our county' small claims court, and the loser will pay reasonable and necessary costs of collection"

That's a legal document that will hold up perfectly in court. Just make sure that EVERYTHING that you expect him to do is in there - the courts work on the basis that when a writing exists, it is the whole of the agreement between the parties, and no verbal amendment will be entertained. If you want to change the scope of the job in progress, write the change down and both sign it.

Include complete scope of work and completion schedule. Require workers comp and adherence to all applicable OSHA regs. Performance bond is also a good idea.

richards answer is good, but also make sure you put something in there about worker's compensation and liability insurance so you aren't held liable should his worker's get hurt or someone that isn't his worker gets hurt. make sure you have copies of his worker's comp and liability certificates of insurance
