I think that you need to be honest about the ways in which it is not working - only you know what those reasons are - but don't use blaming words. For instance, don't say, "you never ...." but just say, "we don't ..." or "there isn't ...in our relationship." Or - just say it is not working out, and you are having a hard time articulating it, but you are not comfortable, if you can't really put your finger on a reason. But remember, the goal here is to break up with her - you can't be responsible for her feelings. She will have to deal with those herself, as would you if she broke up w you.

Tell her that you think you guys are not a good match for a commited relationship. But really care for her and want to continue to be friends.
No matter what a break up hurts. We take that as a personal attack to say that their is something wrong with us. So if you make sure to tell her that their is nothing wrong with her its just that your personallities clash. It will lighten the blow.
