If it's a lunch for the purpose of discussing business, I think it's probably fine. However, sometimes it's important to think about the appearances of things. If you feel that people would judge your or your business' reputation because they saw you at lunch with this person, it's something to consider. Also, if you feel that the person is trying to make it something more than business, that might make you feel uncomfortable also. You should be able to have another kind of meeting, or perhaps bring along someone else from the office.

No, it is not ethical to allow a client to take you to lunch. It may cause a conflict of interest if anything happens.

Yeah why not...... especially if he's not trying to get anything from you in exchange, such as a special discount, lower price, freebies, preferential treatment, etc........ If such is the case I'd definitely wouldn't accept, as I'd feel obligued towards this person.
