I would assume the COA reflects the law and wouldn't sell it to someone in Brazil.

Hope that helps.

I have searched the net over and over and cannot locate anything that says you can't sell a legal copy of any software including microsoft to someone outside the US. If this was a pirated version then yes you would be breaking federal law but I don't see how it would be illegal to sell a legal retail version to someone outside the US. I will continue to research this and give you an update.

Update:
Yes you can sell this to your buyer in Brazil. Read the link below from microsoft about the license and distribution of it's software.
I'm sure the reason the COA says that is because of certain language files and such of other countries.
Also, if you couldn't sell your xp disk to someone outside the USA does that mean I can't sell my computer which is preloaded with XP to that same person who is outside the USA, No. Sell it if you want and it is the responsibility of the buyer if there is issues that may arise from the version not being compliant with his country.

If the COA says only for distribution in US/Canada, what other information do you need? If you violate that ruling, you will be acting illegally. I'm sure you can find buyers in the US or Canada.
