It can mean one or more of a variety of things. People like to build relationships with people like themselves. There is a gradient of commonalities that usually go up an down (as much as we like to think they go side to side on an equal plane). For instance with this "league" train of thought: There are "rich" people and "poor" people. There are "smart" people and "dumb" people. Usually, to be out of somebody's league, it means that they are much more physically attractive (relatively speaking) than the other. So essentially, he probably thinks you are too pretty for the likes of him, and feels you'd say no to a date. You could always ask him out on a date, maybe he'll stop thinking that way.

That isn't a fair reply, since you are as good as everyone else in the world.
The expression means that the other person is higher class or a greater "catch" than another person. But that isn't for anyone else to determine but you! If you are interested, you should decide whether to pursue a relationship or not.

it means he is an ugly geek and she is an attractive woman and he knows she is too good for him.
although once they get to know each other and the woman learns to love the geek because he is such a nice person and sees through the buck teeth, acne and milk bottle glasses.

Out of his league means that you are either a "high maintenance" mamacita or more educated than he is., etc.
It's a compliment for some depending on who is receiving it.
