To dissolve LLC in Califonia before 2008, I know that I should file Certificate of Cancellation (LLC-4/7) and Certificate of Dissolution (LLC-3). The instructions mention looking at FTB Publication 1038 which mentions the following:
"To dissolve, surrender, or cancel your entity you must do
both of the following:
1. File your final return with the FTB.
2. File the appropriate dissolution, surrender, or
cancellation documents with the SOS within 12
months of the filing date of your final tax return."

Question: Do I need to file the final tax return with FTB for the year 2007 before Dec 31,2007? Or do I file the taxes for LLC along with my personal returns due April 2008?

Would appreciate is someone could clarify the sequence of documents (at what time) that should be filed to dissolve LLC.

You just need to file the LLC return by the normal filing deadline. If you've already completely wrapped up the business I suppose you could file early (before 12/31) if the forms and instructions are available but I'd wait until after 1/1/08 to do so personally. Then file the SOS docs with the SOS within the requisite 12 month deadline.

As long as the final LLC return is marked as the final return there won't be any further minimum excise tax due for 2008 so filing after 1/1/08 won't bite you there.
