most people enjoy talking about themselves, so ask questions related to him, his family or if you know any sports or hobbies that he's/she's interested in and if you can talk intelligently about that sport/hobby, bring that up. If possible refrain from talking about work, unless it's a working lunch. He/she may have a specific reason for taking you to lunch. Don't discuss any problems you are having at work, that should be discussed at the office, unless it's brought up by the boss. It's important that you follow the boss's lead in ordering price wise. Also, don't order anything that takes a while to prepare or is difficult to eat. Enjoy and good luck

Let your boss take the lead, and you do most of the listening, folks think good listeners, are very smart ;)
