You could try a simple diet. I suggest the 1200 calorie a day one. You can loose up to 10 pounds a month that way. So you'd loose 20 in two months.
You, obvious, eat 1200 caloires a day. Execise to tone your body. Here's a tip to avoid over-eating. Wait a while between the three meals. It takes long for full-ness signals to reach your brain.
Good luck!

Hmm, this isn't a small question. However i would recommend Exercise AND Diet.
First, I would have you figure out how much calories your body NEEDS just for "living" (breathing, metabolic processes...this is the energy you would use if you were to lay in bed all day) You can figure this out by this equation:
BMR = 655 + (9.6 X weight in kgs) + (1.8 X height in cms) – (4.7 X age in years)
Now to get your total calorie expenditure you need to add all the calories you burn (will burn if you count on exercising)
1. If you are sedentary (little or no exercise) – BMR X 1.2
2. If your are lightly active (light exercise/sports 1-3 days a week) – BMR X 1.375
3. If you are moderately active (moderate exercise/sports 3-5 days a week) – BMR X 1.55
4. If you are very active (hard exercise/sports 6-7 days a week) – BMR X 1.725
5. If you are extra active (very hard daily exercise/sports & physical job or training twice daily – BMR X 1.9.
I would recommend you to exercise 3-5 times a week, so you should multiply your BMR by 1.55.
This number represents the total number of calories you should be eating to maintain your current weight. All you need to do is deduct this number by 500 to lose 1lb of fat a week (deduct by 1000 to lose 2lbs). I'd shoot for 750 cals, 1000cals can lead you to getting too tired.
Then breakdown your Caloric intake into a percentage of Carbs, Protein, and Fat. Try the ration of 50:30:20. (50 percent carbs, 30 percent protein and 20 percent fat) until you reach your goal caloric intake. I use fitday.com, it calculates all of the things i eat and breaks them down to see what your ratio is. Eat every 3-4 hours (5-6 meals), try to break down these meals evenly (your total amount of calories for the day divided by how many meals you plan to eat). Eat more of the carbs in the morning and early afternoon, and try to limit carb intake later in the day.
Lastly is exercise, you should focus on around 25-30 minutes (add a few minutes or run more intensely every week) of cardio exercise 3-5 times a week with your heart rate at around 70-80% maximum. (worry more about your HR and less about how fast your going). Also, include 3 of those days for the weight room. Lifting weights helps tone and build muscle which will help in weight loss. Change your equation/ caloric intake every few weeks because you'll be loosing weight as a result eating less. Or, you can work out harder to keep the same caloric intake and still lose fat.
I would see a personal trainer, or, go online to find a good weight room routine with exercises and reps/sets.
Its defintely involved getting started but if followed its a sure way to lose fat. I followed this for about 3 months and lost around 15lbs of fat. It was the first time in my life that i saw my six pack! Its very empowering and makes you feel awesome! I can give you extra tips, or can help if this sounds confusing.

here's a little tip, brush your teeth after every meal, that way you'll lose ur appetite because if you've ever eaten anything right after brushing ur teeth, it tastes horrible.. and avoid driving everywhere, try walking as much as u can, when you're watching TV, instead of sitting there, lift weights or get a tredmil there.. and you can still eat the same foods that u eat now, just get smaller portions!
