Nice of you to put her name on here.
Tell her to get a new friend instead, one who isn't worried about the size of her friends, but the content.

Why not suggest that you 2 of you try to eat more healthily as a new years resolution?
Cut out things like fizzy drinks and fried foods. Also avoid 'white' foods and eat wholegrains instead such as wholemeal bread & pasta, brown rice and porridge oats. They’re more filling, more nutritious and less fattening.
You could help each other think of yummy meal combinations that fit into whatever your diet plan allows. Not only could you trade recipes but you could take turns preparing samples for each other, with testing and tasting and enjoying each others' efforts.
For snacking, also munch on things like fruit, nuts, seeds and granola bars.

DO NOT use the words 'fat' or 'diet'!

EDIT
You could also suggest that you take up a new sport or hobby together, or even along with a wider group of friends too. Even better if a band of mates undertake the same programme together - you could act as cheerleaders for each other.
You could all join a yoga class or a step class, play tennis, go swimming... The possibilities are enormous. Just do what you and your friends like to do or would like to learn to do and have some fun!

Why don't you just suggest that she eat some greens or something like that. Don't tell her she is fat because there are many, many girls who have starved themselves, sometimes even to death, to look skinny because it got to the point where they thought they were fat, no matter how thin and sickly they really were. Get her some whole, fresh fruits like peaches, apples, oranges, strawberries, and other sweet healthy treats.

Also, it's really bad form to give her name out on the internet, especially her first and last name. Someone could find her and send her some horrible hate mail as a prank, and it could scare and devastate her, and she could even end up being killed. Please remove her name from this question.

Lastly, why are you asking why she is fat? Couldn't you accept her for who she is instead of focusing on her looks? She has made her own choices, and you are trying to run her life when it is not your business. Let her suffer the consequences if she doesn't want to change, but still, be a true friend and accept her, faults and all, and be glad she isn't writing about you on the internet and posting YOUR first and last name.

There's this old saying that goes like this: "With friends like these, who needs enemies????" Actually, I was thinking that you were describing yourself in the third person and wondering why YOU are "so fat"! No??? And you've been pondering what "do I do to tell her she is fat?", which could be translated into "I'm better than this friend of mine, therefore I can tell her she's fat and she'll really appreciate it because she's such s numskull that she hasn't figured it out herself!" I'd say that if it bothers you so much to be associated with someone that is overweight, then you owe it to yourself to ask yourself why you'd even associate with them. God only knows "she" can do better!

I don't think you getting involved in any way is going to help your friendship. I know you are concerned for her but I really don't know what to tell you. Her family should intervene and try to help her. I bet she don't even think she has a problem with food,. Most obese people don't and I don't understand it. I would like to be about 10 lbs lighter and I know it and I feel it. . If you try to talk to her about it, I am pretty sure she is going to get upset with you., and I don't think it was a good idea to put her name on this question. She is going to be hurt already. If this happens, just explain to her that you care about her and you want her to feel and look better.

Tell her that maybe she should watch her wieght a little more, because you're worried about her.

And maybe go on a diet with her, to inspire her, even if it isn't exactly for you.
