It depends on what you want in a car. Being a Toyota the Matrix will have a better resale value, it also has better mileage. The 3 has more power, has a better interior, has better performance, and is a lot more fun to drive. I've driven both cars by the way.
Both cars have a good record for dependability, but I'll give the edge to the Toyota.
I'll have to disagree with the other anwerer regarding reviews. The Mazda3 generally receives excellent reviews, in fact Consumer Reports scores it higher than the Matrix.
One thing I do like about the Matrix, is that you can plug in an MP3 player into its sound system.

No Comparison! MAZDA 3 Hands down! Lets see, do you want to roll around in something that looks like a station wagons little sister or Mazda's best selling Vehicle and Stylish as can be... Can we say faster, Hence ZOOM,ZOOM trademark! Also if we want to go down the reliability road, CONSUMER Report lists it as a top buy for long term test...
