Yes it is legal if it is stated in your contract.
If it is Orchard, "politely" tell them you don't want to pay a fee and then wait a month or two. Chances are good that you may see the increase show up without having to pay for it.
Many people find that is what happens when they refuse to pay the fee, though there are a small few that do it and don't get the increase.

Yes.
It's a contract offer...they're offering to let you do something they don't have to let you do (charge more) if you pay them (which you don't have to do).
