I would suggest the Brooklyn Bridge at sunset, but since she's scared of heights, I would suggest the Promenade in Brooklyn Heights at sunset. Perfect view of the sun setting over the NYC skyscrapers.

If she's OK with boats, sunrise on the Staten Island Ferry.

I agreed with the people above who suggested in a horse carriage in Central Park. It is so romantic and the ride is really beautiful!
No matter what you do, don't choose to propose during New Year's eve at Time Square.... i don't know about that, it will be freezing, many many people around you, you won't be able to move, a real mess... so i wouldn't suggest that.
During a walk on Central Park could be romantic as well. Or during a romantic dinner, you can ask the waiters to help you come up with something special, like bringing the ring on a cake or ona glass of champagne or something like that... it will be great and people in the restaurant will probably celebrate with you both and congratulate you...

I proposed to my wife at the far end of the pier at the South Street Seaport, looking out over the Brooklyn Bridge. It was an excellent, excellent place. Very romantic. The Brooklyn Heights Promenade on the opposite side of the East River would probably be great as well.

Lakeshore is actual notably...that's like a park dealing with the lake and you will see the Toronto skyline lit up at evening. that's loose! in case you are able to spend greater, you will desire to take her to the revolving CN Tower eating place and recommend there!

How about underground. Like in a subway. I hear they make good sandwiches.

Anyway, if you're down in the subway, you could maybe get some of the homeless people to help you out.

my uncle took my aunt on a horse and carriage ride through central park and proposed there. i thought that was a good idea. and it was only a few years ago too.
