Eating healthy and exercising is the key to weight loss.
Eat foods such as, chicken breast, salad (with light or fat free dressing), turkey, fish, and egg whites are good. Anything with protein, and remember everything in moderation. (also remember, never starve yourself, that is not the way to go because you eventually end up malnourished and get really sick.) Nuts are also good, but in moderation. Popped popcorn without butter is good. Also, you can do one cheat day where you allow yourself maybe a cookie or something,
Remember to get lots of protien into your diet, because protein keeps you fuller longer. (protein=egg whites, chicken breast, and fish. Wheat bread also has protein, but eat bread in moderation.
Also, fruits are good on a diet, but do not overload because they have sugar.
Eat about 1200 calories (remember do not crash diet. Crash dieting is bad and you will eventually gain back all the weight.)
You can try to split your meals up into six small meals, so that way you would not be hungry often, since you would be eating often.
Avoid fast food and junk, stay away from soda, even diet and you should be good. Also, if you are eating bread replace bread with wheat bread.
As for eating times, you can eat breakfast, lunch, dinner, with a snack, or you can split your meals into six small ones. (you would be eating 6 times a day, each meal small)
As for exercise do cardio. Take up some running, and if you know how to swim great.
Also, for toning to crunches, sit ups, push ups, and leg lifts. Also remember muscle weighs more than fat.
A sample lunch could be a sandwich on wheat bread, with a apple. A breakfast can be oatmeal with some fruit and a small glass of orange juice.
For snacks, you can snack on fruits.
Drink lots of water to keep you hydrated! =]

I have stuggled with this myself, but have come to understand things that help. First, do not starve yourself. Eat regular meal and snacks. I get hungery every 4 hours it seems. Your body is like a machine, when it is hungery it needs fuel, just make sure you are giving it the proper fuel. If you dont feed yourself you go into starvation mode and your arm starts dragging you to that candybar by itself. Try to stay low fat, it works for me, but don't go crazy with it. I try not to go over 25-30 grams in a day. The more you diet the more you will learn how your body works. Then as far as exercise, it's all about bring it to your level, if you don't you will burn yourself out. Park farther from the store to walk more, exercise comes from all sorts of places. After a couple of months you feel dramatically better.
