There will be a problem, you won't pass the Windows Genuine Advantage test. The Key has been used; therefor installing it would give Microsoft the impression that you are a pirate.

If you care about updating your windows, having the latest explorer, defender and other critical priority updates, and most of all not have that annoying "this version of windows is counterfit" error; you wouldn't do it.

Windows Vista (like XP) is designed so that within 15 days of being installed it has to "phone home". It connects to the Microsoft web site and registers itself. When your friend booted his Vista for the first time, it also phoned home and registered the number. When you try, it will fail beacause the number is already registered and Vista will stop working.
