mine did something similar. i wasnt able to restore it so i toke it to the apple store and told them it needs to be restored. they will ask you do you have windows or a mac and you tell them which one and then they will restore it and set it and then they will tell you to make sure you have the latest version of itunes downloaded.

That's happened to me twice, with the same iPod nano. Here's the instructions on how to reset it. It works for both the 2nd and 3rd generation iPod nano's.

To reset your iPod nano (2nd generation):

1. Toggle the Hold switch on and off. (Slide it to Hold, then turn it off again.)
2. Press and hold the Menu and Select buttons until the Apple logo appears, about 6 to 10 seconds. You may need to repeat this step.

* Tip: If you are having difficulty resetting your iPod, set it on a flat surface. Make sure the finger pressing the Select button is not touching any part of the click wheel. Also make sure that you are pressing the Menu button toward the outside of the click wheel, and not near the center.

* If the above steps did not work, try connecting iPod to a power adapter and plug the power adapter into an electrical outlet, or connect iPod to your computer. Make sure the computer is turned on and isn't set to go to sleep.

to fix the corruptness:
plug the ipod in
open control panel
click administrative tools
click computer management
click storage
click disk management
if the ipod is corrupted like you say it is, it should appear there.
right-click on it and select change drive letter and paths
click change
then change it to something like X

this worked for me twice even though i have no idea why.

As for the not turning off (as these are 2 separate issues that just happened at the same time):
not much that you can do about this, i just drain the battery and it will usually work when it is recharged. .
no guarantee though.
also remember to put it on hold when it does turn off, as it has (for me anyways) turned back on after.

That's what happen to mine too ):
Sadly the only way I know is to go to the Apple store and hopefully you have it insured and they can restore some of the music but most likely not all sometimes they have to get you a entirely new one, but at least you get the new kind of ipod! Much better.

My iPod does the same thing every once in awhile and I'm not completely sure how to fix it but I kept plugging it into the computer and unplugging it and restoring it even if it said it couldn't be and then it just started to restore it on a try. It takes all your info (songs, pics, etc) off but you can upload that, you just gotta be patient.

Disconnect it from your computer

Plug it into a wall charger

hold the select and the top of the clickwheel down until you see the apple loading.

Let it restart

plug back into computer.

If it IS still corrupt, you should NOW be able to restore it.

Also, you can download a demo of iPodcopy (iPodcopy.com) to back up the files before you do this and possible restore as well.

Good Luck!

to reset it press the center button and the top one(menu) for about 10-15 seconds and it should restart, i didnt know how to restart it either so i wud have to wait until it drained. and then try plugging it in again, i have the second nano the color one but not the mini tv one. and then click restore its original settings. and if that doesnt work bring it to the apple store and tell them what happened, and they will tell u what to do

You could bring it to an Apple store and see if they can do anything.
Next, about not being able to turn off your ipod, you could press and hold the center button and the top button (on the circle pad) for 10 seconds; that will restart your ipod.

send an email to apple technical support if your iPod is under a year old, otherwise you'll have to pay for it to be repaired. But try wiping out your iPod than re-syncing it with iTunes. it will have all your songs and play counts, and notes, and album artwork too
