The decision making is strongly effect by the ownership of a companies stock.
In the US stocks are owned by individuals or institution that are only seeking return on investment and have no other ties to the companies.
In Japan groups of large Japanese financial and industrial corporations have historical associations and own each other stocks (cross-shareholdings).
In Germany Banks have relationships with companies are not only lenders but also are major holders of their stocks.

First of all culture, every country has different cultures. Also, resources. When you decide "business wise" there are considerations such as, can my resources be able to suply such and such, or is my culture going to accept such decision. Also a factor is politics, specially to countries where democracy thrives, pro-administration and opposition tends to disagree most of the time thus affecting a decision.
