fills with water and will drain water, but will not spin.
when it tries to spin it makes a loud noise (sounds like its grinding, but its actually fast clicking and as it spins down the clicking slows as well.

NO NO No - This is the problem, trust me, I have the same washer. It's the motor/transmission coupling - a $12 part.
Lay the washer over on it's back (put a cardboard box or a couple of towels under it and don't smash the drain hose).
You'll see the pump, motor, and transmission. Take the pump off (easy), Unclip the motor, and you should see a round plastic couling with a rubber insert - Don't take the transmission off!

Scroll down to Won't Spin Section - it says you have to take off the cover of the washer, but you don't. Just tip it on it's back.
Remember 1st to unplug the machine. Good Luck!

Sounds like the gearcase is bad. Not good. It's a big and expensive job and I would recommend replacing the washer. Gearcase typically comes with a 5 year warranty, but it looks like your washer is probably around 10-12 years old (or more).

New gearcase is about $150, plus you'll need a spanner wrench.

Call Sears and ask them. They have a really good service department and will know what it would cost. Washers are so expensive that it's worth it to find out if it can be fixed.

It is either the latch button to tell it that the lid is closed or the belt on the washer is broken. You can find the belt by pulling off the back of the washer.
