Marketable securities are any shares that's traded on any stock exchange, e.g. IBM shares, Citibank shares, etc. Non marketable securities are shares held in privately held companies for which there is no ready market. You have to find your own buyer and negotiate your own price if you wish to sell your shares, e.g. shares in any family-owned business

Oh Boy's answer is right in part; securities may be non-marketable, even if there is a market for identical shares of the same company if: - you are an 'insider' or 'control person' and haven't filed the appropriate notification of intent to sell, - your securities are not registered with the appropriate authority (SEC in the US) for sale, which is often the case with private placements, - your securities are subject to a covenant or agreement which prohibits sale until or unless something happens, and other reasons
