He says he wants to confirm it is not a stolen laptop, it's not, is there any reason why I would not want to give out the serial number?

I know that when I install the Mac OS, it does not ask me for a serial number of any kind. I think he's just looking for the hardware serial number.

Yes, possibly so he can change the ownership and registration for computer and operating system to his name in case of a failure at some later time. You might contact Apple and see if this can be done. I would not buy any computer new or used with out serial number and OS key, and preferably with a recovery CD for OS.

You can find the serial number in Apple menu > About This Mac. If the serial number is not shown, click on Version or Build under Mac OS X.
I can't think of a reason why you would not want to give it out. I haven't experienced or read about somebody using a serial number for malicious purposes, but that doesn't mean it does not happen.

Why sell it online if you can sell it locally, where you can meet the buyer? Otherwise If you have registered your MacBook Pro with Apple, then they have a record that you own the computer. You can notify Apple after you sell the laptop that you no longer own it and give them the name and address of the new owner, who can later register it himself or herself. Thus it should not be a problem giving out the serial number, as Apple won't believe someone who claims to have the serial number. People can snitch the serial number off laptops anytime the laptop is left unguarded by its owner, and Apple knows this. Other companies, like Dell, put the serial number on the outside of their laptops where anyone can read it without turning on the laptop.

i agree with previous post, i know on windows the serial is your Operating system key and they can steal your licence number

not sure for mac but im sure its the same kinda thing
