I think a positive attitude is by far desirable over excessive negativity. However, if someone exaggerates their "positivity", they can sometimes look fake or even arrogant. For some people that can be very annoying.

The old cliche' would be, "some people are happy in their misery".
for some this may be so, I know some incredibly negative people, and personally I firmly believe they would find something wrong with the best things in life, however attitudes are very subjective, and therefore asking "why" is one of those questions that opens a whole other can of worms, keeping the negativity going because you are opening the door for them to "tell you".
On the other hand, I am an eternal optimist; the kind of person who believes behind each cloud the sun will shine again, lemons turn into lemonade, or a scrumptious lemon meringue pie; you get the picture, and it does sometimes seem to annoy people too; go figure.
This does not mean, bad luck (murphy) never shows up at my house, heavens, it has even tried to move in on several occasions, but it is not what happens to us as much as how we view it, and deal with it.
A persons attitude has everything to do with the outcome.
It is all about time, and place, and of course situational.
Access the situation, be compassionate, and lend an ear when needed, at times leave well enough alone until people make the first move, and NEVER play into the drama of the wet blankets out there; life is to short.

Sometimes an overly positive attitude comes off as false.
Often "bubbly happiness" only serves to point out another's misery.
A positive attitude can be taken as a unwillingness to actually work through whatever the current issue is or as a unawareness of the gravity of the situation.
In all these cases, it's how the "positive attitude" is made manifest to the observer

Because it makes them uncomfortable about their attitude. Another already said misery loves company. I have a sister who is full of nothing but misery and hate, when I am positive with her she seems agitated and changes the subject back to all her bad luck, etc. I try most always to be positive, it seems to offend the ones who are the least positive, always.

Because a positive attitude makes them feel uneasy because they would rather wallow in their self-pity. Being positive makes people feel uncomfortable as they complain because they are usually looking for an advocate to their negativity.
