i am talking about the actual toolbox not what is in it

Depends on the kind of toolbox. But I guess you're talking about the "domestic" type so here goes my list of must haves:
+ A strong handle and structure - Laugh if you want; but it is not funny when a HEAVY toolbox breaks and all the wrenches and stuff fall out, as Murphy will put it, on the most fragile and/or tender object in sight (including your feet)
+ Two stages, the kind which move to the side when you open the toolbox to put all that teflon, insulating tape, screws, etc.
+ A big space at the bottom for wrenches, hammer, scewdrivers... you name it.

Depends on the type of work being done. An auto mechanics tools box is different than a carpenters or a copier repair man. Consider what an office copier repairman comes to the job with vs an auto mechanic....

Basically common features /function which any tool box provide are:
1.) Organization of tools.
2.) Security of tools, (Lockable)
3. Ease of inventory , being able to quickly determine if anything is missing.

Other features, such as portability, depend on the job function.
A wheeled plastic case like a Platt which is easily moved and shipped would work well for a field service tech like a copier repair man but would not be adequate for an auto mechanic in his garage.

Many machinist chest are made of wood and expensive. If that is the type you are building here is a good website with picture examples.
Felt lined drawers is a must to protect the measuring instruments that machinist rely upon.
