i have jut had a new roof and have some kind of underlayment under the shingles. does the vent have to rest on the sheathing or can it lie on the underpad or possibly the shingles themselves?

Simple. Been there, done that...twice. As long as you have the tools and basic home improvement skills you can do it. Follow the instructions that come with whatever you buy.

All you should need is:
Jig or reciprocating saw.
yellow marking crayon
drill
caulk gun w/ roofing tar tube
hammer
nails
measuring tape
string

That should be about it.

You'll want the vent to rest on the sheathing and put the shingles back over the flashing on the vent. The vent might come with instructions to this effect. The home centers here have classes to help with this kind of installation.
