Simply put: They take in more calories than they burn off. Just because foods are considered healthy doesn't mean people can at as much of them as they want.

First, we have to remove ourselves from the "social" notion of losing "weight". Now, you state that despite eating "healthy" (whatever THAT is), drinking lots of water, and exercising regularly, they still aren't losing weight. Well, let's put this notion of "weight" into context. Aside from genetics and disease, people usually lose fat because exercise usually involves some type of anabolic activity (well it should, anyway). So, it could be that what you see could be muscle growth and fat loss on these people.
On the other hand, it could be folks that run (or jog at a increased pace) will be in a more catabolic state whereby they are keeping the fat on somewhat. This occurs when increased intensity exercise is sustained over an extended period without short-term rest.
Addressing nutrition is vital because gluconeogenesis could ensue if the muscles aren't "fed" through enhanced nutrition. In terms of eating healthy, what may be healthy for one is not enough for another. A boxer, wrestler, or football player will need a different diet than a marathon runner, swimmer, or even a skier. Water helps a lot, but of course too much is not good either. Even notions of exercising regularly --depending on intensity and amount of nutrition AND REST-- could result in undesired health states due to exercise that is not performed properly (intensity, form, duration, etc.). Just because the general terms (eating healthy, drinking lots of water, and exercising regularly) are met, doesn't mean that the results will be either specific or even desired.

They may have the tendency to stay fat... Just the way their body is made up chemically. Besides what works for one person does not work for another. And a lot of people aren't even aware what eating healthy really entails. And even if they are eating healthy they may be swallowing more calories than they are burning off through regular exercise.

They're not eating healthy enough nor are they exercising enough. Sorry. I know lots of people who talk endlessly about their diets and spend lots of time in the gym. But they still eat crap and what they do in the gym is just silly.

Very few people that are exercising regularly and eating properly still remain overweight. VERY few. And those people have medical issues.
