No she isn't really flattered. It's a nice way of letting you down - I had exactly the same happen when i asked out a girl. Amelia said "Daniel, I'm flattered - truly. But I don't feel the same way". She wasn't actually flattered, she was just trying to be kind when she rejected me.

Usually the first.
Sometimes she really will be flattered and actually go out with you.
Like other answerers have said..it depends on what the woman says AFTER the I'm flattered....

Well in movies the girl says "awww...i'm flattered *name*, but...." guy: "but..." girl" but i don't think it's gonna work out"
but..heh, this is real life. i'd say look out for signs that she gives in case she is trying to let you down easy, but otherwise she probably really is flattered and keep flattering her.

Depends on if she accepts or declines your offer. "Flattered" could go with either of those...
Example:
"I'm flattered that you'd ask. Yes, I'd like that"
"I'm flattered that you are interested, but I'd rather not. Thank you"

usually when a girl says she's flattered it's a good thing. however, saying it when you ask her out is not. usually she is just trying to let you down easy because the feelings aren't mutual. sorry. good luck though.

Well...did she say "Im flattered, but" or "Im flattered, of course"...big difference. If she says "but" and then gives an excuse, she's trying to let you off w your dignity intact...

if she said "Im flattered but i cant " Shes letting you down nice
if she said "im flattered sure i would...."
So yeah it depends how she said it
