She might be afraid of getting hurt in the long run. You should explain to her that if she really does have feelings for you that you might have something together. Tell her how you feel about her. Don't give up too easily. Some girls like to be chased a little bit.
Maybe she thinks you just want to use her for the physical contact. For some damn reason, I've struggled with this in the past. I had a 5 year relationship with a girl that was terrified at first that all I wanted was sex. I was crazy about her at the time. It drove me crazy enough to drive her crazy enough to just give me a chance and although we broke up a year ago, I don't regret a thing. We still laugh about how hard I tried at first just to get her to go on a date. She admitted she liked me and I wasn't about to let such an amazing girl slip through my fingers because I lost my nerve. Stick in there and fight for what you think is best for the BOTH of you. If you care for her and she likes you, you two could make eachother very happy.
For a long time, she was the best thing I had and a part of me still loves her. It probably always will. It doesn't hurt anymore though and I'm not going to let that fear keep me from finding love again. I honestly don't think I was equipped to live without it.

Go slow with this girl. Ask her to go out and do something with you, don't ask her to be your girlfriend. Don't put too much pressure on her in the beginning.

you and her need to talk about it she may be afraid that if she says yes you may expect more out of it than she is willing to commit to and we are all afaraid of the unknown she may have other issues that you dont know about so you need to talk and find out what the problem is
