Not if you buy a copy for their computer -- cheap at www.newegg.com

Only if the copy is a professional, your both using it for business, you are in two separate locations, and you are upgrading at the same time.
If you are transferring the image then make sure they have the proper hardware.
If you are using a real copy and not a preinstalled version, then just install it.

Technically it is Illegal. The reason is you are granted a license to install the Operating System on one computer. Unless you purchase the multi license.

Illegal, no as long as it is a purchased copy. But however, it will not work, serial codes can only be used on one computer and it is registered in the CD and it will not verify the installation.
