find daily calorie intake calculator on the net, enter all your stats and it will tell you how many calories you need a day to maintain, take off 300-400cal off that number and thats how much you need to lose.
eat 5-6 small meals a day (eat every 2-3 hours - it optimizes your metabolism)
5-8 servings of fruit and veggies a day
8 glasses of water
have complex carbs for breakfast - they give you energy
have protein (lean meat, legumes etc) for dinner - repairs muscle
cardio is the only fat burning exercise and burns fat all over your body (running, jogging, swimming, spinning, elliptical etc) 4-6 times a week for 30-50min (ideally 45min because the first 20-30min body burns carbs and only then starts burning fat), weight training a few days a week but never work on the same muscle group two days in a row (more muscle=faster metabolism)
dont consume foods that are made of white flour (white bread, cakes, pasta etc.), sugar loaded foods (cookies, icecream, candy etc) and nothing fried, oily.
ofcourse you can spoil yourself once in a while with a little treat:)

Burn more calories then you consume.
Cut a small (tiny) portion from your food, eat healthy, and exercise. Cardio will reduce your fat but will also reduce a small amount of muscle. Most of the weight you will lose will be muscle. So I would also add in a bit of weight lifting, just light things.

try not to eat anything when you just feel like it. but make sure to eat three meals a day 1 dessert a day or less. whenever you feel hungry don't just go to the fridge and take something. have a drink or something. but just wait to eat till breakfast lunch or dinner time. if you can and know how to, be on a little 2000 calorie diet but not for too long. Maybe like a week or something.

I keep an exercise & food journal at fitday.com. It has helped me. It keeps track of your calories through food & lets you know how many calories you burn through exercise & living (though I'm not sure that it is always 100% accurate, but at least it's numbers you can see). Seeing how many calories I took in the first week was my wake-up call for me to start watching my portions better & to stay away from junk food.

Eat less (not starve yourself) and exercise more.
If you are exercising and its still not coming off, try taking "Hydroxycut" before you work out. It helps you burn more calories, and ultimately fat. Also helps keep your metabolism up for a longer period of time, even after you stop your work out (ultimately burning more calories). A little on the pricey side, but hey results are results.
