Two questions, two answers:
To get rid of excess fat, you need to do some sort of aerobic exercise for at least 40 minutes straight per day. Running is the most common, but the elliptical works, swimming would work if you can swim hard, etc. You need to raise your heart rate and KEEP it raised for at least 40 minutes. Btw- fat is lost from ALL OVER THE BODY, not just "spots" like the ads would have you believe.
To gain muscle: you need to do some load bearing exercise. The most common is lifting weights, but biking would work too. For weight lifting, I love squats, leg presses, leg extensions, hamstrings, etc.
If you do aerobic exercise without weights, you'll lose some fat but you might not gain much muscle.
If you lift without doing aerobics, you'll gain muscle, but it will be hidden beneath the fat, so you'll never see the results. Do both, give yourself 6 months and you'll love what you see.

I wish I could get rid of the muscles in my legs. I absolutely hate it-let's trade.
I think the best excercises are:
1) squats
2) leg extension
3) lunges
Don't forget calves so you dont have bird legs.

run! run! run! and maybe thigh and calf excercises to get definiton. also, hiking up hills.
