Have him checked out first by his pediatrician to rule out any tumors or abnormalities.
Next. Exercise.....running, jump rope, doing sit ups and crunches together as a family so he doesn't feel left out. Make it a challenge to see if he can beat the amount he did the last time and reward with a non-food item like a day at the park, a day of swimming or something fun and healthy.
Cut out as much sugar as you can and fat as well. Find out from the pediatrician how much he should be getting vs. how much he is actually getting.

Is he disproportional due to his structure, or because he has a little bit o' pudge? If hes pudgey, hes probably getting ready for a growth spurt. If he is obese, you may consider altering his nutrition and being more active. Not diet or anything, but maybe cut back on some of the junk food and loading up more on fruits and vegetable, whole grains, etc. As far as active, get 'em in a sport or bike riding.
This all only if he's obese, if he's just got some fat on him, its nothing to worry about. Kids tend to pudge up before they hit a growth spurt.
If its a structure thing, like bones or muscle are making him bulge, you may want to consider seeing a doctor. Honestly, though, this could reslove itself to as your son begins to grow into his body.

I would try keeping a close eye on the amount of fat and he consumes in a day. Keep it to a minimum and try walking with him in the evening (it's great for belly fat), get him into martial arts or a sport. Given time and slowly reducing the fatty foods he consumes I guarentee he will be good to go! Good luck.

cut the junk food and get him into sports, soccor is a good beginner sport, and its very physical. Take him to the dr and get his weight and height checked, he may be overweight or it may be his body structuure. But exercise is the best answer. Limit tv, computer, video games ect to 1 hr a day. He can earn more tv time be being active, like 10 min of tv for every hr of activity.

See a doctor. Sounds like he's not active enough.
